Terms and Conditions

These terms and conditions ('Terms') govern your access to and use of the Vedari platform, websites and related services (the 'Service'), provided by Vedari Ltd ('Vedari', 'we', 'us'). By accessing the Service, creating an account or joining the waitlist, you agree to be bound by these Terms. If you enter into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.

1. The service and beta status

Vedari provides an AI-native platform for managing the vendor lifecycle, including procurement, contracts, spend, usage, risk and renewals. The Service is currently offered on a limited, pre-release ('beta') basis. Features may change, be withdrawn or contain errors, and availability is not guaranteed during beta. We may apply usage limits or grant access in stages.

2. Accounts and eligibility

The Service is intended for business users. You must provide accurate registration details, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 and authorised to act for your organisation.

3. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorised access, reverse engineering the platform, uploading unlawful or infringing material, interfering with its operation, or using it to build a competing product. We may suspend access where we reasonably believe these Terms have been breached.

4. Customer data

You retain all rights in the data you or your users submit to the Service ('Customer Data'). You grant us a licence to host, process and use Customer Data solely to provide, secure and improve the Service and as described in our Privacy Policy. You are responsible for ensuring you have the rights and consents needed to provide Customer Data to us.

5. Third-party integrations

The Service can connect to third-party tools and services. Your use of those integrations is governed by the relevant third party's terms, and we are not responsible for third-party products or their availability. You are responsible for the credentials and permissions you grant.

6. Intellectual property

The Service, including all software, models, designs, and the Vedari name and marks, is owned by Vedari or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Any feedback you provide may be used by us without restriction or obligation.

7. Fees

Access during the beta period may be provided free of charge or on terms notified to you separately. Where fees apply, they will be set out in an order or subscription agreement between you and Vedari. Unless stated otherwise, fees are exclusive of applicable taxes.

8. Warranties and disclaimers

The Service is provided 'as is' and 'as available'. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose and non-infringement. AI-generated outputs may be inaccurate or incomplete and should be reviewed before you rely on them. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Limitation of liability

To the fullest extent permitted by law, Vedari will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or in connection with the Service will not exceed the greater of the fees you paid to us in the twelve months before the claim or one hundred pounds.

10. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access, with or without notice, where you breach these Terms, where required by law, or where we discontinue the beta. On termination, your right to use the Service ends, and provisions that by their nature should survive will continue to apply.

11. Changes to the service and terms

We may update the Service and these Terms from time to time. Where changes are material, we will take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory local law provides otherwise. [Confirm governing law and jurisdiction before publication.]
